ZOE Daily30+ Online Terms of Sale and Subscription

PLEASE CAREFULLY READ THESE TERMS BEFORE PLACING AN ORDER ONLINE. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ZOE.

Any other use of our website is governed by our separate Terms of Service. By using our website, you also agree to those Terms of Service.

We currently only ship ZOE Daily30+ to the United States and the United Kingdom. We hope to be able to expand that in the future. You can join our waitlist here.

Signing up for a subscription

We sell ZOE Daily30+ by subscription through our website. Subscriptions will automatically renew unless canceled by you or us.

We may offer discounts on the price of ZOE Daily30+ subscriptions to members of ZOE's personalized nutrition program (the 'Program'). You will only be eligible for a members' discount if you use the same email address you used to register for the Program.

We may sometimes bundle the sale of subscriptions for ZOE Daily30+ with the Program. In those cases, these Terms shall apply to your subscription for ZOE Daily30+, but the separate Terms of Service will apply to the Program. They shall remain separate subscriptions.

We reserve the right to reject orders for a subscription for any reason. Once you have signed up for a subscription and we have received your first payment we will either send you a confirmation email or let you know we cannot accept your order.

If we cannot accept your order, we will arrange for any payment you made to be refunded to you through our payment provider.

Monthly subscription

If you sign up for a monthly subscription, we will charge you the purchase price on a monthly basis. We will use the payment method you provided on sign up.

4-month subscription

If you sign up for a 4-month subscription, we will charge you the purchase price for that period in full at the beginning of that period. We will use the payment method you provided on sign up. We will send you the full 4-month supply of ZOE Daily30+ in a single delivery.

Prices

The initial purchase price applicable for your subscription will be the purchase price you agree to at sign up. Applicable sales taxes are added at checkout, depending on your location. Prices paid are non-refundable unless you receive a damaged or incorrect product (see the Returns - Damaged or incorrect products section below).

We may have to increase prices (including discounted prices) in the future. We will let you in advance of any changes to your purchase price for future billing periods.

Delivery, title and risk of loss

We will use commercially reasonable efforts to ship products within a reasonable time after your subscription is accepted and then after receiving payment at the start of each subsequent billing period. Although we may provide delivery or shipment timeframes or dates, these are estimates and may be subject to change (including as a result of availability).

Delivery is currently included in the price of our subscriptions.

Title and risk of loss pass to you upon our transfer of the products to the carrier/delivery.

Your account

When you subscribe you will be able to set up a ZOE Account to more easily manage your subscription. This is a single ZOE Account for all our products and services, so you can also use it to purchase our personalized nutrition program.

We also offer a guest checkout. If you go through our guest checkout we will also send you an email asking if you would like to set up a ZOE Account.

Automatic renewal of subscriptions and cancellation

Automatic renewal of your subscription

Your subscription will automatically renew (for monthly or 4-month terms, as selected), and so will continue indefinitely, until either you or we cancel it.

How to cancel

You may cancel automatic renewal of your subscription at any time. You can do so on our website through your ZOE Account (if you have completed its set-up). To avoid further charges, please do so at least the day before your next billing date.

Alternatively, you can email us at daily30@zoe.com to cancel automatic renewal. If you use email, then please let us know at least 3 days before your next billing date. Otherwise we may not be able to process your cancellation before the next payment.

If you cancel too late, your subscription will renew for the next period, but will not automatically renew for further periods.

Our right to cancel

We may cancel your subscription at any time. If that happens, we will let you know by email and will refund you any amounts paid for products that you have not received.

Returns - Damaged or incorrect products

All sales are final, unless the product is damaged or incorrect.

If a product is damaged or not as described when you receive it, please contact us as soon as possible at daily30@zoe.com. We will let you know through email about what photo or other evidence we need to determine whether you are entitled to a refund or replacement. We will process any refunds to you by the method you used for payment unless this is not possible.

Payment information

By signing up for a subscription for ZOE Daily30+ through our website, you agree to provide only true, accurate, current, and complete payment information. You agree that you will only provide payment information which is yours or that you are authorized to provide.

You are obligated to provide current, complete, and accurate information for your billing account. You are responsible for promptly updating all information to keep your billing account current, complete, and accurate (e.g., change in billing address, credit card number, or credit card expiration date). You must promptly notify us if your credit card information is cancelled or is no longer valid (e.g., loss or theft). You may update your billing information at any time directly in your ZOE Account. If you fail to timely update your credit card information, your subscription may be terminated.

We may cancel your subscription if we have grounds to believe that you have provided us with inaccurate, not current, fraudulent or incomplete payment information.

THE INFORMATION (INCLUDING ADVICE AND RECOMMENDATIONS) ON OUR WEBSITE IS NOT INTENDED AS MEDICAL OR HEALTHCARE ADVICE, OR TO BE USED FOR MEDICAL DIAGNOSIS OR TREATMENT. IT IS ALSO NOT INTENDED AS A SUBSTITUTE FOR PROFESSIONAL ADVICE AND SERVICES FROM A QUALIFIED HEALTHCARE PROVIDER.

Personal use only

We sell ZOE Daily30+ for personal use only. You may not re-sell ZOE Daily30+. We will not be liable to you for any business losses, and any liability we do have for losses you suffer arising from the sale of any products to you if you were purchasing other than as a consumer shall not exceed the purchase price of those products and is strictly limited to losses that were reasonably foreseeable at the time of your purchase.

Severability

If any provision of these Terms is invalid, illegal, void or unenforceable, then that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions of these Terms.

The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of ZOE.

Changing these Terms

The version of these Terms in force on this website at the time you subscribe shall apply to your subscription. We reserve the right to amend these Terms any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last amended.

Governing law and jurisdiction

These Terms shall be governed by the law of the Commonwealth of Massachusetts. All disputes arising out of it shall be resolved in accordance with Arbitration Agreement in the Terms of Service.

Assignment

You may not assign, delegate or transfer these Terms or your rights or obligations under them, in any way (by operation of law or otherwise) without ZOE's prior written consent. ZOE may transfer, assign, or delegate these Terms and its rights and obligations without consent.

No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than you.
